Employee Stock Purchase Program (ESSP)

All DZS US Employees,

You are invited to participate in the newly adopted benefit, Employee Stock Purchase Plan (ESPP).

The ESPP allows employees to contribute a portion of their salary through payroll deductions to purchase shares of DZS stock at a discount.

Important facts regarding the ESPP:

  • Purchase period is six (6) months and will start on December 1, 2018 and end on May 31, 2019
  • All US employees who have completed a minimum of one year of service on December 1st are eligible to participate in this purchase period (note: the 2nd purchase period will start June 1st so if you are not eligible now you may be eligible for June)
  • Shares purchased will be discounted 15%
  • The 15% discount will be the lower of our trading price (a) at the beginning of the offering period, and (b) at the end of the offering period
  • 2,000 shares are the maximum number of shares that any one employee can purchase during this purchase period
  • You may contribute anywhere from 1 to 20% of your wages on a post-tax basis
